MetricsHub® Enterprise User License Agreement

This License Agreement ("Agreement") governs your use of MetricsHub Enterprise software ("MetricsHub Enterprise" or "Software") provided by MetricsHub S.A.S. ("Licensor"), registered at 128 rue La Boétie, 75008 Paris, France (Registry of Commerce of Paris number 938 861 952). By downloading, installing, or using MetricsHub Enterprise, you ("Licensee") agree to these terms. If you do not agree, do not use the Software.

1. License Grant

MetricsHub S.A.S. grants Licensee a non-exclusive, non-transferable, time-limited right to install and use MetricsHub Enterprise solely for internal business purposes, subject to the terms of this Agreement and compliance with the licensing terms detailed herein.

2. Subscription and Licensing

MetricsHub Enterprise is licensed based on a subscription model. Each subscription entitles Licensee to use MetricsHub Enterprise to monitor a defined number of resources (servers, network devices, storage systems, etc.) for a specific time period, as specified upon purchase.

The Software usage requires a valid license key provided by Licensor, which activates MetricsHub Enterprise for the purchased subscription period.

Licensee must not exceed the number of monitored resources specified in the subscription. If the number of monitored resources is exceeded, Licensee must immediately notify MetricsHub S.A.S. MetricsHub S.A.S. reserves the right to invoice Licensee proportionally for the additional resources used for the remainder of the contracted subscription period.

Upon expiration of the subscription period, Licensee is granted a 30-day grace period, during which MetricsHub Enterprise remains operational. After this period, continued use requires a renewed subscription.

3. Updates to Agreement

MetricsHub S.A.S. may periodically update or modify this Agreement. Licensee acknowledges and agrees that continued use of MetricsHub Enterprise following any such updates constitutes acceptance of the revised terms. Licensee is encouraged to regularly review the most current version of this Agreement available on the MetricsHub website.

4. MetricsHub Community Edition (AGPLv3)

MetricsHub Enterprise includes MetricsHub Community, an open-source software component licensed under the GNU Affero General Public License Version 3 (AGPLv3). Use of MetricsHub Community is subject to the terms of the AGPLv3 license, available at GNU Affero General Public License- GNU Project - Free Software Foundation. MetricsHub Enterprise extends MetricsHub Community with proprietary modules, connectors, features, and functionalities, which are licensed solely under this Agreement and not under AGPLv3.

5. License Restrictions

Licensee shall not:

  • Distribute, sublicense, lease, rent, loan, or transfer MetricsHub Enterprise to any third party.
  • Modify, reverse engineer, decompile, or attempt to derive the source code of MetricsHub Enterprise proprietary components.

6. Technical Support

Licensee receives access to technical support via the MetricsHub Support Desk for the duration of the subscription. Technical support is governed by separate Terms of Service provided with the support subscription.

7. Intellectual Property Rights

MetricsHub Enterprise proprietary content is exclusively owned by MetricsHub S.A.S. Licensee acknowledges that all intellectual property rights, copyrights, and trademarks related to MetricsHub Enterprise remain with MetricsHub S.A.S.

8. Limitation of Liability

MetricsHub S.A.S. shall not be liable for indirect, incidental, special, consequential damages or lost profits arising out of this Agreement or use of MetricsHub Enterprise, even if MetricsHub S.A.S. has been advised of the possibility of such damages. Liability shall not exceed the total subscription fees paid by Licensee for the preceding 12-month period.

9. Termination

This Agreement terminates automatically upon expiration of the subscription and grace period unless renewed. MetricsHub S.A.S. may terminate this Agreement immediately upon breach of its terms by Licensee. Upon termination, Licensee must cease all use of MetricsHub Enterprise.

10. Governing Law

This Agreement shall be governed by and construed under the laws of France. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

11. Entire Agreement

This document constitutes the entire agreement between MetricsHub S.A.S. and Licensee regarding MetricsHub Enterprise, superseding any prior oral or written agreements.
